Terms of Service

1. The Service

WakaERP is a multi-tenant business management platform (point of sale, inventory, HR, accounting, and related modules). We may add, modify, or discontinue features from time to time to improve the Service.

2. Accounts

• You are responsible for the accuracy of your account information and for safeguarding your login credentials.
• You are responsible for all activity that occurs under your account and those of your team members.
• Notify us promptly of any unauthorized use of your account.

3. Subscriptions & billing

• Paid plans are billed in advance on a recurring basis until cancelled.
• Fees are non-refundable except where required by law.
• We may change pricing with reasonable prior notice; changes apply to the next billing cycle.
• Failure to pay may result in suspension or termination of the Service.

4. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulation.
• Attempt to gain unauthorized access to the Service, other tenants, or related systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse engineer, resell, or sublicense the Service except as expressly permitted.

5. Your data

You retain ownership of the data you submit. You grant us a limited license to host and process that data solely to provide the Service. Our handling of personal data is described in our Privacy Policy.

6. Intellectual property

The Service, including its software, design, and content (excluding your data), is owned by WakaERP and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding.

7. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

8. Limitation of liability

To the maximum extent permitted by law, WakaERP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or data, arising from your use of the Service. Our total liability shall not exceed the amounts you paid us in the twelve months preceding the claim.

9. Termination

You may cancel at any time. We may suspend or terminate your access if you breach these Terms or to protect the Service. Upon termination, your right to use the Service ceases and we will make your data available for export for a reasonable period before deletion.

10. Governing law

These Terms are governed by the laws of the Republic of Uganda, without regard to conflict of law principles. Disputes shall be subject to the exclusive jurisdiction of the courts of Uganda.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance.
